Windows 2002 to Windows 2003 Upgrade

We had Exchange 2000 running on Windows 2000 Advanced
Server.

We did an in-place upgrade to Windows 2003 Enterprise and
on restart the computer cannot join the domain.

You get an error indicating "access decided" when you
attempt to rejoin the domain from workgroup mode.

We are a mixed mode network. Our DC is Windows 2000.
I'm stumped.
