Will XP upgrade install if I have only Win98 cab files?

I have only the Win98 cab files I saved from my old PC. I can't find the
CD.

Will I be able to install the "upgrade" version of Windows XP Home?

I'm planning a clean install.

No. The Windows XP Upgrade CD needs to find the Windows 98
license which is not in the .cab files. You'll need to purchase a
"Full Version" of Windows XP.

I have more than just .cab files, in fact I have the product key. Will that
permit me to install an upgrade version of XP Home?

No. As Carey stated, you must purchase a retail Full version of WinXP.

..cab files from Win98, even if you have the product key, is not sufficient.

do you need the media at all times?
even if the OP would install win98 from the cab files onto his new
computer and then upgrade to winXP?

Thanks for all the replies.

Microsoft has made it very confusing, and mentally and financially
burdensome to upgrade Windows. And it seems that those of us who assemble
computers from parts are paying a premium in OS cost for doing so.
