I have just reinstalled my PC, It was due for one. I was haivng the same
problem before reinstall.
When i go to start shutdown, the system goes through normal shutdown process
but then instead of shutting down it starts back up again.
Anyone have any ideas why this is, I am running intel P4 2.6 with D56PERL
MoBo. 1gig ram, ati 7500 video card 120 sata hd.

Windows XP should never be "due for" a reinstall.
Something is amiss with your system and you need to determine just
what this is, and then it can be fixed.
Open Control Panel - System - Advanced and click on the Settings
button in the Startup and Recovery (bottom) section. In the Startup
and Recovery window click on the checkbox for "automatically restart"
to clear it, then click on Apply and OK as needed to exit.
That should put a stop to your computer's rebooting when you try to
shut it down. However it may also result in a "Blue Screen Of Death"
STOP error when shutdown, requiring a manual power-off to complete the
shutdown. If this does happen then the contents of the STOP error
message, including STOP code, all 4 parameters, and any file or module
names mentioned, will be a direct clue as to the underlying cause of
the problem. Post that information back here if you need help with
it.
