upgrading

Have tried to upgrade from 98-SE to XP-Home, shuts down at
same point several times, during installing devices. Have
tried clean-install..and upgrade..same thing, same spot.
Thought may have been cd-rom problem, but have changed
that. Any suggestions?

All external devices have been turned off or disconnected before you
start right?
