Upgrading to Windows XP from Win2k

I'm trying to upgrade a user from Win2k (with sp4) to WinXP. She has a lot
of difficult to install/configure applications, and it would be 10x easier to
upgrade rather than do a clean build.

Here's the problem:

I run the WinXP(with SP1 built in) cd from windows to do the upgrade. It
goes through the initial steps, reboots and go to "processing information."
Then reboots to start the installation process. It displays the WinXP splash
screen, shows the blue desktop screen like it's going to start the
installation, and then spontaneously reboots. On the reboot, it shows the
splash screen again, then displays "restarting installation...." then reboots
again. I have no errors to go off of, and no information as to what is
causing it.

What I've done so far:

**I've imaged the machine before doing the install, so I can keep starting
over**

I've uninstalled Symantec Client Security (antivirus) 10.0
Inter-Tel telephone software
Win2k Admin pack
Veritas and BAckup Exec software
TS software
Microcall software (more telephony s/w)

disabled all non-microsoft services
disabled all start-up apps

disconnected any physically connected devices

Disabled ACPI


At this point, I'm open to any suggestions to get this to work...

From the i386 folder on the XP CD run winnt32 /checkupgradeonly and view the
Upgrade.txt file that is created.

Ran that, and it told me mostly what I already knew--that the Admin pack and
"replacement logon software" should be uninstalled b/c it won't work when the
upgrade is in place. I've uninstalled both in previous attempts to no avail.
It also told me about a parallel driver and a sound driver it didn't like.
I disabled them, rebooted, confirmed that they were still disabled, and ran
the install. It still continued to bootloop at the same point.
