upgrade to genuine xp pro sp2

One of my workstations has been running non-genuine win xp pro without SP1 or
SP2. -bad boy :(
I have just purchased the XP Pro Upgrade with SP2 and plan to replace the
non-genuiine OS. -good boy :)

I have a 60gig hard drive partioned into two 30gig partitions- "C" and "E'.
I have copied my important stuff over to the "E" partion.

I have my original Win 98 SE CD which will allow me to upgrade to XP Pro
SP2

I would like to just install the Genuine XP pro sp2 over the non-genuine,
but will that cause some unexpected problems?

If I format my "C" drive to do a clean install, will I lose my data on the
'E" drive extended partition?
