upgrade 2000 to xp

Should I upgrade win 2000 professional to win xp home?
Will I have any benefits? Also, can I install win xp home
upgrade software to my desktop and my laptop?

The win* licence is for a single install on a single sys.
Personally I have win2k pro sys and winxp home sys, I can think of no reason
to upgrade the win2k sys
