Unable to boot to win xp after upgrade (vgaoem.fon missing)

I upgrading to win xp and now I can't boot up and receive an error that I am
missing or this file is corrupt, vgaoem.fon.

I tried to follow the windows support article,
http://support.microsoft.com/kb/315338/EN-US/,
but at then end I received an error that I did not have access.

What should I do now? Any help would be appreciated!

To start the recovery console you need to key in your Administrator password
If you dont or enter wrong password, after 3 attempts it will exit

I think I am getting into the console fine, but after I try to expand the
vgaoem.fon file it says I do not have access.
