When you run Terminal Server on Windows 2003, you must have a TS
Licensing Server running on Windows 2003, as well as 2003 TS CALs.
Have you checked if you have 2003 TS CALs available on your
licensing server? Have you checked that the TS can locate the LS?
Check your EventLog on the TS for more information.

Did you buy and install Per User or Per Device TS CALs?
If you installed Per User TS CALs, is the Terminal Server also set
to use "Per User" licensing? The default is "Per Device".
You can check this from Administrative Tools - Terminal Services
Configuration - Server Settings
If it's set to Per Device mode, it will look for a Device TS CAL
and will not issue your Per User TS CALs.

Check this article, it explains that even after you have
switched licensing mode on the TS, your Per User TS CAL count will
not be decremented:

Do you happen to know if the licensing server is in admin mode, if it can
give out users CALS? The only option is remote desktop for admin, I think
this is causing our licensing warning messages.

Yes, a TS Licensing Server can be installed on a server that does
not run Terminal Services (in Application mode) itself, just
Remote Desktop for Administration. So this is *not* the cause of
your problem.

Do I understand correctly that your Licensing Server runs 2003,
your Terminal Server runs W2K and your client XP? In that case,
the clients should receive a free build-in TS CAL from the
Licensing Server.
Did you check the EventLog on your Terminal Server? Most likely,
the TS cannot locate the LS, in which case you have to hardcode
the name of the LS into the registry of the TS. How this is done
depends on the OS of your TS:

The TS licening server is saying it is out of licenses. I think the 2003
CALS are taking over the 2000 and for some reason it thinks everything needs
a license.

This does not sound correct. The 2003 LS can only run out of 2003
TS CALs (since your XP clients would be issued free W2K TS CALs,
which are unlimited), which means that it has received license
requests from clients connecting to a *2003* Terminal Server.

Could it be that your 2003 Licensing Server also runs full-blown
Terminal Services, and not only Remote Desktop for Administration?
Note that installing Terminal Services in 2003 means that you
install full-blown TS, which implies Application Server mode.

Available=unlimited
Issued = 40

Temporary License for Windows 2000 Server - Terminal Service CAL Token (per
device)
Type= Temporary

Total= 0
Available= 0
Issued = 1

Temporary License for Windows 2000 Server - Terminal Service CAL Token (per
device)
Type= Temporary
Total= 0
Available=0
Issued=22

Windows Server 2003 - Terminal Server Per User CAL Token

OK, it is clear that there is a 2003 server which runs Terminal
Services (implying in Application mode). Once again: when you
installed TS Licensing Service on your 2003 Licensing Server, did
you install Terminal Services as well? That is not needed if you
only want to use Remote Desktop for Administration!

If the LS is *not* running Terminal Services, then you must have
some other 2003 server on your network running Terminal Services.
Moreover, this 2003 Terminal Server (whichever server it runs on)
is configured in Per Device licensing mode, and your 2003 TS CALs
are Per User. See my first post.

If you only want to use Remote Desktop for Administration on the
2003 Licensing Server, uninstall Terminal Services (but keep TS
Licensing). Remote Desktop is configured in System - Properties -
Remote.
If you want to have multi-user sessions running on your Licensing
Server (i.e. you want to use it as a Terminal Server as well),
then configure the server with Per User licensing.
