Stop error Message 9c

Well this stop error message is troubling me for sometime now and
driving me nuts. At this point in time i have to think about 3
things :
1. My motherboard- Asrock 775i45GV
2. MY Graphics Card: 256 MB Nvidia Geforce 6600
3.My processor :Intel Pentium4 2.66 GHZ.

The error occurs quite randomly and the blue screen comes with error
message of 9c with the arguments:
BCCode: 124
BCP1: 00000000
BCP2: 83113230
BCP3: B2000000
BCP4: 1040080F

I am using Windows Vista Ultimate in my machine. Now i have 3
questions.

Is my CPU fan not working fine when the graphics card is inserted
becos it works fine otherwise.
My motherboard has AGP1 slot whereas my graphic card specfication says
it supports AGP 2.0 and above.Or some other problem with the
motherboard
Third is my Graphic card is not responding well . May be the fan is
not revolving correctly or getting overheated. I really dont know at
this point in time.

But when i remove the graphic card the comp works fine on Intel
Extreme Graphics without a restart. Someone please help.

An 845GV Northbridge, has no AGP slot. The first web page I ran
into, from Asrock, says the board has an "A.G.I." slot, which is
a *fake* AGP slot. It appears to be bridged from the PCI bus,
but I cannot make out the chip number or brand name of the
chip immediately at the end of the AGP slot.

Page 182 says there is no AGP interface and no AGP registers
in the 845GV.

This Wikipedia article, makes passing reference to AGI and the
similar things that other motherboard companies have done.

The recommended driver version here, is 81.98. And that is
probably a WinXP driver version number. They may not have
planned on you using Vista.

To test the processor and the memory, you can get a copy
of Prime95 from mersenne.org . Use the "torture test" option
when the program is running. The "torture test" does a calculation
with a known answer, and also uses a chunk of system memory. Prime95
should run for hours, without stopping with an error. If it stops in
seconds, you could have a problem with your memory. I would run this
test with the graphics card missing - passing the test further
focuses on the fake AGP slot as the source of the problem.

Based on your symptoms, it could be a problem with the video
subsystem, and specifically with using your 6600 with that
motherboard. Changing motherboards might be an alternative.
Or you could use a PCI video card, if you are really
desperate.
