SP2 - Access Denied

When I have tried, several times both from automatic updates, cd and
searching for updates on my own, to install SP2 each time it goes through and
does its thing and about 20 minutes into the process displays an "Access
Denied" message, and tells me it was unable to complete the installation and
undoes what it did. I am also told XP may not work as it did previously. I
get no message or indication as to why I was unable to complete the install.
My profile is set to Admin, I have disabled, updated, and open ports on my
firewall, I have scanned for viruses.

I would appreciate any insite as to what I can do to complete this
installation, and find out why I have been receiving this message.

Disable anti-virus program and firewall. Reboot in Safe Mode and do not
go on-line to install SP2. It is best to install from the free CD.
