Skype and Windows messenger crash

Both skype and windows messenger (though not at the same time) periodically
crash during last steps of windows xp load process. Skype is version 3.6 and
messenger is v5.1. What's interesting is that they crash in ntdll.dll at the
same address(0x00018fea).
In the meantime I've disabled messenger, so now only skype
crashes(periodically).
PC is slightly overclocked, but has passed 10+ hours of memtest and orthos
stress testing without a hitch. I keep my drivers and windows fixes
up-to-date. Here are the event dumps:

Have you checked your system for malware and viruses?
Does hardware (especially RAM) passed tests - for instance made by
Memtest or Windows Memory Diagnostic?

RAM passed 10+ hours of latest memtest86+.
After a full scan by nod32 2.7, there was only one "possible
threat"(newheur) detected and only in system restore folder(not very
active).
Spybot only detects tracking cookies.
