Setup hangs on "Upgrading program and system settings"

I am trying to do an XP Pro upgrade on a Dell Dimension
L866r desktop. Everything seems to go okay until I get
down to 21 minutes remaining. When it says Finalizing
instalation - upgrading program and system settings.
There is no HDD activity, and the progrss bar does not
move. However, The mouse cursor can still be moved, and
the info screen keeps changing....

any ideas?

PS - I let the pc sit for over 3 hours hoping it might
complete, but it did not...

Also, physically disconnect all your peripheral hardware devices,
especially USB devices (not including your mouse, keyboard or
monitor). Uninstall any antivirus program, too!
