You cannot convert a NTFS drive to FAT32 unless you reformat.
However, you may wish to try using Partition Magic as it has
the capability to do so.

Partition Magic 8 may succeed in doing it, but is not guaranteed. You
have to ensure before starting that all compressed files or folders are
uncompressed and all encrypted files unencrypted or it will not even try
- and at that having complicated access permissions set may cause
trouble
So back everything up anyway. And having done that it may be better
just to delete and recreate the partition as FAT 32, reformat and
restore anyway. Note that XP itself will not create or format a FAT 32
partition bigger than 32GB
