msiexec pops up automatically.

Hi,
In my task manager, under processes TAB, msiexec has two instances both from
System. One stays there but another shows for a second and then goes away for
a secon. CPU usage is 100% with two and 2-3% with just one in the list. I
have already scanned my system using updated Trend micro and updated
Superanti spyware. Even tried Hijackthis. Still same. Most of the times even
windows doesn't shut down. I have already removed all the startup items minus
Trend micro and disabled non-microsoft services (which were not necessasary).
Windows Installer service has been toggled between Automatic/Delayed Start
and Disabled. No resolution as of now.
Can anyone help me why is it so?
(If any log or report is needed to analyze feel free to inform)

Thier is no "delayed start" for MSI,it's auto, manual,or disabled.Try,first
download
the latest installer,3.5 or 4.1,4.1 has a rescent update to it,install
download.
Go to run,type:msiexec /unregister Return to run,type:msiexec /regserver

Hi, Andrew,
I installed Windows Installer 4.5, restarted and yet no avail. I have
stopped almost all the non microsoft services except TrendMicro services. I
haven't installed SP3 as of now.(Actually I had it installed and due to this
issue, did system restore).

Still in need of help!

Shubrat...
