Motherboard Or PSU??? HELP

If i shut down the pc then start back up it works fine, but this is the funny thing if i shut it down then turn it all of by the mains socket, then turn it all back on it will not beep or post but all the fans work and dvd and hdd, and ittakes around 45 mins of restarting and clearing the cmos to get goin

Have you checked the CMOS battery?

my cmos vbatt voltage is 2.98v according to pc wizard 2008
