memory error while shutting down

On my new HP, while shutting down or restarting, I
ususually, but not always get the following message.

The instruction at 0x771c1c94 referenced memory at
0x000000008. The memory could not be read. Click OK to
terminate the program.

The message stays for about 7-8 seconds then the machione
shuts down fine. There are no apparent issues while
running any programs.
I have tried a new piece of memory with the same results.
The system is a P4, 2.53 GHz, 64 mb on board video, 512
ram.
Any help is greatly appreciated.

0x00000008 memory..." issue is due to virus in your system.
