Wont shut down

Can someone give me a hand I have had this error message for awhile. I wrote
in here a couple of time but no luck. The message is:
I Aspnet_state.exe-Application Error
The instruction at "0x6a2a2fec" referenced memory at "0x00000000".
The memory could not be "read".
Click on OK to terminate the program.
Click on CANCEL to debug the program.

Now when I shut down it gets stuck on a screen that says Windows is shutting
down...

I have left it for 3 hours and still there. I used to shut it down by hand
and restart it. Now when I restart it it goes to a black screen after
checking everything I was check ing buttons and either F8 or F9 got XP back.

What gives here?

Oh its XP Pro 2.2GB 512 RAM

Shutting down from Task Manager often works.

Avoid pulling plug.

I tried everything suggested and still get this message before it will shut
down or restart:

Is there something I am forgetting or could there be a file missing?

Any more ideas?
