load fresh XP

I have a computer I acquired that has XP, but it must be a bootleg
version, because I am unable to load SP2 from CD.
As a result, I purchased a new full copy of XP. (I am not on the internet
yet with this computer, it will be used at a relative's place where there is
only dial-up, and want it working ok before I take it down there)
This version of XP already has SP2.
What is the correct procedure to follow to load the new copy, and eliminate
the bootleg one?

Reboot with the disk in the drive and format. You could probably use one of
the tools that are available to change the key to your new key if they are
both the same version. Google will find you one I'm sure. I don't use any so
I don't have need for any but they're out there.

Just boot from the Windows XP CD (change the BIOS boot order if
necessary to accomplish this) and follow the prompts for a clean
installation (delete the existing partition by pressing "D" when
prompted, then create a new one).

Note that the above causes the loss of everything on the drive,

Happy in addition to what others have posted you should ensure that before
you attempt a Repair Install to replace the pirated versions system files
with the legit system files that you run a good spyware scan, antivirus
sweep and then do a decent disk cleanup to ensure your system is in decent
shape.
