I have w2k pro on my machine.
If I upgrade to XP, does my w2k license cover this or do i need to purchase
a separate license?

You can do what you wish in one of 2 ways.

You can buy an upgrade copy of Windows XP which includes an upgrade license.
This allows you to install it over your existing Windows 2000 setup or do a
clean install, but you will have provide your Windows 2000 CD as proof
during the install. Your license for Windows 2000 becomes part of the XP
Upgrade license so you are no longer licensed to use the old copy of Windows
2000 on any other machines (this is why the upgrade is cheap then a full
license)

You could also buy a full copy of Windows XP which will do either an upgrade
or clean install and would then also leave you with a license to use your
old Windows 2000 on another PC.

Either way you buy some form of new/additional license

I don't understand what you mean. If you, for some bizarre reason, think
that owning 2000 entitles you to a free upgrade, then you're going to be
disappointed (c'mon was your upgrade to 2000 free?!). Where do you propose
to obtain XP from (legally) if you don't purchase it?!

By purchasing the software you are purchasing a licence to use it, so I
really don't understand the question.

If you purchase an upgrade licence, and use 2000 as a qualifying product
(please note that 2000 to Home is *NOT* a valid upgrade path and, if you
wish to 'upgrade' to Home you will be required to format and install it
clean) then your 2000 licence is 'absorbed' into the XP licence and is then
considered part of said licence. You cannot, therefore, install 2000 on any
other system, nor may you sell it or give it away without also including the
XP upgrade.

If this isn't what you meant, could you please post back and explain?

You have to buy an Upgrade version of XP Pro, which is something over
$150
