Three things come to mind first:

1. Video driver problem
Try and update the video drivers with a newer version.

2. Memory stick problem
Troubleshoot memory either by swapping sockets and/or using only one chip(if
you have more than one) Beyond that try running a memory checking utility
like memtest86.

3. Lastly you might try updating m/b Bios

Havent rebooted infinite times yet has it?? ;-) How do you know? haha.
Anyways... did this just happen suddenly while previously working fine?
When does it reboot after windows splash screen appears? before desktop
appears?

No it did reboot only finite times lets say 200. :)
Rebooting occurs when the OS is trying to switch window or open a new
program but i have experienced reboots while surfing the net also or
browsing my computer.
I have used Win2K for a year before and I have experienced BSOD instead of
reboot. I changed my OS to solve the problem but it still remains. May be
penguin is the best soln.
Thanks

I am using the latest bios; 1014 for my mobo.

Well, you updated from NT 5.0 to 5.1. So now you get Bill doing the
three monkeys. Don't hear, don't see, don't tell .. instant restart.

To see the, more or less cryptic, reason _why_ the computer crashes you
go study the Event viewer logs, you can access through:
Control Panel:Administrative Tools:Computer Management:System Tools:

After i install Windows, IE, OE .. any M$ product, the first thing i do
is change the majority of the default setting i find to it's opposits.

The autoreboot-on-crash "service" you turn off via:
Control Panel:System:Advanced:Startup and Recovery:Settings:System failure:

FWIW, I am using 1018 beta 001 so 1017 is the latest "official" though this
might not solve any problems.
