hi, i was using windows xp from the day microsoft introduce it to the market,
haven't reinstalled it or had any problems, i constantly go to windowsupdate
and download all patches..

i recently bought a new hardware, new p4 w/ HTT (Hyper-Threading Technology)
my windows doesn't seem to recognizing it :(

i run intel's processor identification utility and here what it says..

i have another computer with another windows xp and there in task manager
you see two cpu, and so in device manager

on my first pc i only see two processors in device manager but not in task
manager so its somehow disabled.. in bios HTT is enabled..

if i run liunx or freebsd they both detect 2 cpu.. and my mb at the boot
says that i have p4 w/ HTT .. so i guess its windows who can't really see it..

any ideas/suggestions/comments are very welcome

The diagnostic you show in your post says:
Hyper-Threading Technology: No
Which basically means the CPU is not capable of HT. If your invoice states
"p4 w/ HTT (Hyper-Threading Technology) ", then the manufacturer mistakenly
supplied you with incorrect CPU.
Once you have the correct CPU, then you BIOS/CMOS must support and have
enabled HT.
Then and only then, will XP see a CPU HT enabled.

Some motherboards have HT disabled by default (if the motherboard supports
HT) try enabling it in the BIOS and if it doesn't show up then you do not
have a HT CPU, one way to find out if it is enabled it to goto device
manager and under Processors it should list it twice.

If you just plugged it in and tried using it then the installed Hardware
Abstraction Layer (HAL) will not support it. You will need to do a
repair reinstall to get the one that supports HTT - and it might be a
good idea when that says 'Hit F6 to install special drivers' to hit F5
instead and make sure you select the HTT version. Also I am not sure
when the HTT support got into windows - you would probably be as well to
use a CD with SP2 'slipstreamed' into it
