As I have no further use for my XP-upgrade disc and my son is limping along
on Millineum..may I give him my disc? can he activate on his computer..what
steps must I take to give him ownership of my XP upgrade..I had to buy a copy
of XP sp2 so I no longer need the upgrade disc.

So long as the upgrade is no longer installed (according to my understanding
of the EULA) you can certainly pass said disk on to your son for that use.

Checking the EULA for your own sake might be an idea but the above is my
understanding and I'm not a lawyer so who knows?

If you do not have the XP Upgrade currently installed, yes, you may give it
away or sell it. No particular steps are required. Just give it to him,
along with all the materials that came with it you that you still have.

I second that interpretation. As long as you transfer the license
documentation to your son as well, you should be able to do that without
running into EULA issues. You should always read over an EULA the first
time you come across it before automatically agreeing to it: In the US,
you're entering a contract.

Very true if a Retail Upgrade version but I currently have
an XP Home Upgrade OEM version from Dell. That one can't be
transferred to another computer that was sent to me when I
bought a Dell 8100 computer with ME with a "free" upgrade to
XP when it became available.

Yes, if it's OEM, you are correct. Only retail versions can be transferred
to another computer.

In general, all Upgrade versions are retail, not OEM. I wasn't aware that
Dell had ever had an Upgrade version, so thanks for the info.

Thank you all..this was very helpful. It's interesting to note the
difference (OEM vs. Retail) Fortunately, I purchased my copy from
Amazon.com..so I'm just going to give it to him.
