CODE 37 ERROR - S3 Video driver wont load on XP start

Anyone have this problem or know the solution?
I have tried to instal video driver for S3 model 368 3D/2D
AGP card while running on VGAsafe (autoselect at Windows
XP PRO startup). Can only find W2000 drivers on own CD
and Net. This card is made by Genius with S3 chipset but
their site has only drivers to W2000 which are SAME as on
CD i.e. 5.30.04. Did find "5.30.005 Enineering Version"
on Net.
BOTH THESE DRIVER FILES WILL INSTAL THROUGH USER SUPPLY
DRIVER LOCATION IN THE ADD-HARWARE WIZZARD BUT AFTER
FINISH ERROR MESSAGE IS -

"This device is not working properly"
and
"Windows cannot initialize the device driver for this
hardware. (Code 37)
Click Troubleshoot to start the troubleshooter for this
device."

TROUBLESHOOTER WAS HOPELESS FOR THIS PROBLEM!!!

1) All manner of uninstalls and re-installs give same
result.
2) Even simple Driver Update in
Control_panel/System/Display_Adapter sets it up but it
wont initialise the card - which was working on previous
XP load on this machine.
3) Cannot update driver
through "Control_Panel/Display/Advanced/Settings/Adapter"
because VGASafe (running as the default)does NOT give this
choice.

Totally stumped. Any helpful ideas?
Crap how Microsoft will not take any emails to support
their product and expect users to help each other without
havinh access to source code and design and centralised
feedback. Richest losers in history.
