"Bad_Pool_Caller" blue screen of death

ok, looking for any input possible on this one.....

Windows XP Pro SP2 installed in Israel, comp now in US

High quality ASUS, Maxtor, Intel, ATI built machine, turn machine
on, post passes, windows splash screen gets all the way through, video mode
changes from splash to windows gui, blue screen flashes really quick with
the
"bad_pool_caller" and then reboots, will repeat forever if you let it.

Already tried boot sector virus clean, no traces, fixboot, chkdsk, chkntfs,
nothing changes after being in and out of recovery console, etc. Also will
not
allow over-write of windows installation using retail disk. (You hit F8 to
accept
and nothing happens). Tested another keyboard, no different.

Any thoughts, suggestions greatly appreciated.

Please be blunt, I have 17 years experience with this, and this is a new
one!
