autochk not found skipping AUTOCHECK.

Please HEEEEELP!!!!

Win XP SP2
I have this message and my computer reboots.

I used WIN CD for repairing with chkdsk /r but the problem remains....

Tried to ovewrite autochk.exe file in Win\system32 directory but
"accesse denied"....

Any advice before format?
