adprep /domainprep does not work

I am trying to promote Windows Server 2003 to DC in
existing Windows 2000 Domain. We have only one DC in the
domain running Windows 2000 Server SP3. I have run
adprep /forestprep and did not have any problems.
The next step running adprep /domainprep, but nothing
happens. After 2 seconds the command prompt returns and
nothing has been done and there is no any message. I'm
not allowed to install AD on Windows Server 2003 because
adprep /domainprep has not been run.
ADprep.log does not provide any clues. Couldn't get any
answer in MS Knowledge Base. Any help would be greatly
appreciated.
