"Access is Denied" during SP2 Upgrade

Hey everyone!

Halfway through the Windows XP SP2 Upgrade, I get an "Access is Denied"
error message and the upgrade fails.
I have tried several times but with no success.

My computer runs on Windows XP Professional SP1 and meets the the system
requirements for SP2. My computer is free of spyware and known viruses and
my anti-virus and firewall are kept disabled during the upgrade. I am
upgrading from an Administrator account. I close all open
programs/applications before running the upgrade wizard. Let me add that it
always fails about halfway through the upgrade and I have tried upgrading
from the Windows XP SP2 Install CD and Automatic Updates.

Any ideas would be greatly appreciated and wether or not you have any ideas
as to what may be causing the problem, thank you for reading.
