Win XP's Compatibility Checker crashes on my Win ME PC

Yes I did disable AV and disk utils and it still crashes :
( any other ideas?

I have also tried running the checker in a clean boot and
from command in Windows ME but both have the same Winnt32
causes an error in KERNEL32.DLL error when the checker
gets to 3/4 of they way thru (the stage where it
says "Processing system files...". Can anyone help please?
