Hi Bill,

Yes, provided your Win98 CD is a retail or generic OEM version. If it is a
System Restore disk, then it cannot be used to qualify a clean install with
the upgrade CD. If this is the case, you will need to install it first, then
upgrade (just choose a new install and format once it is qualified).

Why do you want to do this?

Greetings --

It's quite possible to perform a clean installation using the
Upgrade CD. You'll be offered the opportunity to delete, create, and
format partitions as part of the installation process.

Simply boot from the WinXP Upgrade CD. The Upgrade CD checks to
see if a qualifying OS is installed, and, if it finds none, it asks
you to insert the installation media (CD) of that OS. Unfortunately,
an OEM "Recovery/Restore" CD will not work for this purpose; you must
have a true installation CD, complete with the "\Win98" folder and
*.cab files, or the "\i386" folder of WinNT/2K.

Not related to your problem, but check your time zone setting, it appears to
be incorrect for your location.

Yes. The requirement to use an upgrade version is to *own* a
previous qualifying version's installation CD (not an OEM restore
CD), not to have it installed. When setup doesn't find a previous
qualifying version installed, it will prompt you to insert its CD
as proof of ownership. Just insert the previous version's CD, and
follow the prompts. Everything proceeds quite normally and quite
legitimately.

Yes. Even if it is only a restore CD of 98, you can start from that and
run the XP upgrade CD under it; change Upgrade to New Install, then when
it asks to confirm where to install, hit ESC, delete the present
partition and make a new one. By that time the eligibility check will
have been made.

First ensure that the hardware is adequately powerful for XP
