Your right to use the Academic version of Windows XP ends when
you no longer meet the criteria for using the Academic version of XP.
Other than the above limitations, Windows XP Upgrade is the same.

A matter of licensing. An Academic one is only to the licensee for the
machine it gets installed on, and for the duration of his qualification
as a student. So not transferable.
