upgrade from xp pro from millenium edition is not finding
me installation, asking for cd, normally not a problem, but
user wants all setting and data saved... how can i get the
upgrade to recognize the old installation or use a cd but
not have to delete or write over the windows folder?

Apparently, you acquired an "OEM Version" of Windows XP.
OEM versions cannot upgrade an existing Windows installation. Only
"retail versions" can upgrade. Either purchase a retail version of Windows XP
or reformat your drive to install the OEM version "clean".

No, this is a retail box, straight from staples, it is
labeled upgrade on both the box and the holographic cd.

Carey,
Way off-base there - OEM won't ask for qualifying media. Slow
down, read a little slower and understand what the OP is actually
saying.
