XP Pro Reboots when i shut down!!

i have a problem. every time i try to shut down my
computer restarts. i disabled automatic shutdown in the
startup and recovery tab and a BSOD message has appeared.
it is something to do with he file nv_agp.sys. i have got
the msi k7n2-l mainboard, with no agp card, just a 32mb
pci. any ideas?
