Xp not installing on win 98 followed by error messages and occasional freezing

I have a laptop computer running windows 98 second edition and whenever i try and start the setup process it loads for a time and then i recieve this error message:
"The Option to upgrade will not be availble at this time because setup was unable to load the file
D:\I386\WIN9XUPG\W95UPG.DLL

A dynamic link library (DLL) initialization rountine failed"

After i click the ok button i get this error message:
"Setup cannot continue because upgrade functionality is disabled and your copy of Windows XP only allows upgrades"

After i clicked that ok button it goes to the windows setup wizard with the following messages
"Cannot complete the Windows XP Wizard
The wizard did not install Windows XP on this computer either because you cancelled the wizard or because an error occured
You can run the wizard again later to install Windows XP

I have tried to run the setup again but it fails again and i have formatted C drive and reinstalled windows 98 but none of it seems to fix it. I have tried to boot it before windows starts up but i get this huge error message:
"A problem has been detected and windows has been shut down to prevent damage to your computer

If this is the first time you've seen this Stop error screen,restart your computer.If this screen appears again, follow these steps:

Check to be sure you have adequate disk space.If a driver is identified in the stop message, disable the driver or check with the manufacturer for driver updates. Try changing video adapters.

Check with your hardware vendor for any BIOS updates. Disable BIOS memory options such as caching or shadowing. If you need to use Safe mode to remove or disable components , restart you computer, press f8 to select advanced startup options, and then select safe mode.

Technical information:

Thats all there really is in the way of error messages. it looks complicated but is there any way to fix this problem at all?

You probably have incompatible hardware on the laptop.

Did you check this link, especially #3 Upgrade Advisor before you
began:

Try it this way iof everything else is OK:
Clean Installation
Disconnect all peripherals (camera, printer, scanner, etc)
Disconnect any ZIP drive
Disconnect network/modem cable.
Go to BIOS and set CDROM as boot device before hard drive.
Insert Windows XP CD and reboot.
At "Press any key to boot to CDROM" quickly press a key and follow the
prompts for a Clean installation:

If you are installing using Windows XP Upgrade, insert qualifying
media in Step 4b.
Delete all partitions in step 5 if you desire to erase all data on the
hard drive.
Partitioning and formatting will be done automatically.
All data will be destroyed, back-up important data first.

Enable or install firewall BEFORE connecting network cable.

Install ALL Critical Windows Updates:
Start/All Programs/Windows Update

After you are finished, you will need to load the appropriate drivers.

If your computer was shipped with Windows XP, these procedures may or
may not apply.
Check your manual or contact the computer manufacturer for more

You need to perform a "clean install":

The Windows XP CD is bootable and contains all the tools necessary
to partition and format your drive. Follow this procedure and allow
Windows XP to partition and format your drive:

NOTE: It would be best to physically disconnect all your peripheral hardware
devices, except for you mouse and keyboard, before installing XP.

1. Open your BIOS and set your CD Drive as the first bootable device.

2. Insert your Windows XP CD in the CD Drive and reboot your computer.
3. You'll see a message to boot to the CD....follow the instructions.
4. The setup menu will appear and you should elect to delete the existing
Windows partitions, then create a new partition, then format the primary
partition (preferably NTFS) and proceed to install Windows XP.

5. Clean Install Windows XP

6. After Windows XP is installed, visit the Windows Update website
and download the available "Critical Updates".

7. After installing the critical updates, be sure and visit the support website
of the manufacturer of the computer to download and install any
