XP keeps restarting after fresh install

I needed to execute a fresh install of xp. When i
purchased the computer it came with 98"se so i only have
the upgrade version of xp pro...scince buying the comp,
ive made numberous hardware changes eg. processor and
m/board upgrade.
after formating the hdd i used the bootable win 98se to
boot the sytem up, then used my xp-pro upgrade. after
instalation my system refuses to boot xp, it gets to the
xp logo screen then resets itself.. this is confusing me
because xp worked fine on my machine before !!! ive tried
everything i can think of so any help would be
appreciated. please e-mail me with any tips !!!!

Install XP clean if you can and use the 98 CD for the verified media stage.
