xp home upgrade from dos

long story short, win98 was "inoperable" on my computer so
I opted to install xp over it. ended up having to format
the harddrive from win98 emer boot disc and try again to
install xp from the upgrade disc (which microsoft says you
can do). however, getting error: Setup cannot locate End
User License Agreement (EULA), setup cannot continue.

thats it and you must start reboot,etc. All the microsoft
knowledge articles (326673, 307848, ......) which relate
to booting from the CD and installing the operating system
clean have been followed, and supposedly I shouldnt be
getting this error after formatting.

This happens whether or not I boot directly from CD, or if
I boot from floppy and run executable from disc as
microsoft recommends. any ideas to rid this EULA? thanks
in advance.

Make sure the CD is clean.

Try a Clean Install this way:
Disconnect all peripherals (camera, printer, scanner, etc)
Go to BIOS and set CDROM as boot device before hard drive.
Insert Windows XP CD and reboot.
At "Press any key to boot to CDROM" quickly press a key and follow the
prompts for a Clean installation:

Delete all partitions in step 5 if you desire to erase all data on the
hard drive.
Partitioning and formatting will be done automatically.
All data will be destroyed, back-up important data first.

After you are finished, you will need to load the appropriate drivers.

If your computer was shipped with Windows XP, these procedures may or
may not apply.
Check your manual or contact the computer manufacturer for more
details.

Is your Windows 98 CD a full install disk or is it a "System Recovery"
CD provided by a major computer manufacturer?

The Windows XP Upgrade will normally not recognize a "System Recovery"
CD as a qualifying product. In this situation you will have to
restore your Windows 98 and then install the XP Upgrade.
