Xp Home Upgrade Failed.

I'm trying to upgrade a Windows ME machine to WinXP Home, and having
problems.

When I boot to the CD, it will give me a blue screen of death with the
following:

"A Problem has been detected and Windows has shutdown to prevent damage to
your computer.

Session3_initialization_failed

Technical info:

Stop: 0x0000006F (0xc0000020, 0x00000000, 0x00000000, 0x000000000) "


I just had the Motherboard of this computer replaced by Gateway because it
had overheated, so I have a new Motherboard, CPU, and Memory now. This
problem existed before and after replacing the motherboard. It not my
system so I don't know the full specs on it, but it's an Athlon 1Ghz
Processor.

It probably still has a hardware problem. You say it's not your
system? Tell whoever it belongs to that they should return it to
Gateway for repair.
