I bought an Averatec laptop that has a Phoenix Firstwar Recovery Pro software
on in. The 80 GB HDD is partition in an inaccessible manner. Averatec says I
don't need a CD since all the orig. files are backed up on that one orig. HD.

Is it possible to give MS the product key and then purchase a replacement CD
for backup in case the HD fails?

The version you have that came with your laptop is OEM the responsibility
for you software lies with the laptop manufacturer. If you want a copy from
MS you will need to buy a retail version that will have its own CD key.
I would pursue it with the laptop manufacturer.
