WinXPpro - Upgrade from 98SE

Win I try to upgrade the process stops and I get the
message "The option to upgrade will not be available at
this time because setup was unable to load the file E:\1386
\WIN98XUPG|W95UPG.DDL"

Can anyone advise me how to trouble shoot. I really don't
want to do a fresh install unless I have no other choice.
