Is there a way to download the s/w (excel, pp, word) from
my old windows98 cd to my new dell windowsxp?

Microsoft Office (Excel, PP, Word) is a separate program and
is not included with the Windows 98 CD. If you do not have
a Microsoft Office installation CD and license, you'll have to
purchase Microsoft Office separately at your favorite store that
sells computer software.
