windows xp pro upgrade

i want to install windows xp pro. i have the upgrade disk,
(from windows 98 to xp pro) but when i wish to upgrade a
error message comes up saying that i have had two attempts,
one said that it was a fat32 problem and the other was a
can not copy from cd. plez help

throw u r machine away and get new one from vendor with
all stuff installed at reasonable price.
the reason is u have pirated cd and h/d file sytem is old.
