Windows will not shut down after several attempts

System Info: XP Home Edition. SP2 Build 2600

I am currently in the process of selling my extra computer (an eMachine).
After I have done a system recovery and then after I have added Windows
updates, new programs, etc., I have a hard time shutting down the PC. Now,
mine isn't the typical shut down problem where I request a shut down and then
the PC freezes. Absolutely nothing happens until I request the shut down
about 6 or 7 times. (After the last shut down request, you can finally hear
that the PC is running through it's shut down processes) It seems to only
happen after I install McAfee (from a CD) and the Quicktime player. I did a
system restore to before I installed these programs and it seemed to correct
the problem. But I would like to know why this problem is occurring in the
first place.

The other corresponding problem I have with all of this is that the
"System32" folder appears at startup. Once I did the system restore for the
shut down problem, this folder no longer appears.
 
How did you fix the problem of your computer not shutting down. I am having
the same problem?
 
I would guess the more likely culprit with the shutdown problem is McAfee. If you
are selling the computer, why install McAfee, when the new owner may want to get
their own preference in anti-virus? I know when I get a system with McAfee or
Norton A-V installed, my first act is to uninstall them.
