WIndows will not set up and comes with message "NTFS.sys file corrupt"

Anyone come across this problem:
"Windows cannot start because the following file is
missing or corrupt: Windows32\Drivers\Ntfs.sys
ou can attempt to repair with the original setup CD .."
When we attempt to use the setup CD we get a similar
message about Ntfs.sys being corrupt and it aborts setup.
We cannot access the computer. Any idea what causes that
and how best to get out of it? Thanks

Did you boot from the CD? Have you run the Windows XP Compatibility
Check? Did the Compatibility Check report problems or issues? Are you using
the Upgrade Version CD? Is this (I assume) an attempt to overwrite the
contents of an existing hard disk with a clean install? If you will post a
few more details of what you have done, the MVPs on this newsgroup may be
able to venture a more-informed diagnosis of the problem, and suggest a
workable solution.

I encountered the similar problem of ntfs.sys file being corrupt or
missing.
Tried to boot from win xp cd, but it failed with error message of
some file missing ot failed to load. Later I removed 1 RAM module &
tried to boot from Win xp CD. This time it was successful. I used
FIXBOOT command to rewrite the boot sector and everything went fine
after that.
Later Seagete disk tools showed that my Harddisk had got several BAD
sectors !!
