windows refuses to run netgear print server ps121 software

hello,
Everytime i try and install the print server software i get this error
message and the software refuses to install....im running windows xp and i
removed sp2 to see if it would work but the same thing happens. i get the
following error message:
"16 bit Windows Subsystem
C:\WINDOWS\SYSTEM32\AUTOEXEC.NT. The system file is not suitable for running
MS-DOS and Microsoft Windows applications. Choose 'Close' to terminate the
application"

it doesnt matter if i click ignore or close. the software wont run.
im thinking it might be a windows update that are causing this issue.
any ideas?
