Windows NT Upgrade to Win 2000 Active Directory Probs in replicati

I recently upgraded my WIN NT PDC to Win 2k with Active Directory. Every
thing was successfull and great! I then ran DCPROMO on another Win 2k server
which also seemed 100% succesfull.

however when I attempt manual replication (in AD sites and services) from
the new DC (server2) to the 1st server (the old NT machine) I get access
denied. I can successfully replicate from server2 to Server1 but not the
other way.

Repadmin /showreps list a bunch of access denied replications.

SOMEONE PLEASE HELP! I have spent 5 days and I can't figure it out!
