Windows 2K shutdown reboot

Windows 2K Pro shutdown does not stay shutdown, goes into a reboot
automatically. This is not due to an error, driver problem, etc., & have
tried shutting down from another user's desktop with the same result. I will
"break" once the reboot commences & when any disk activity stops, shut off
the power.

Any help greatly appreciated.
