Win xp Home upgrade from 98se

I bought win xp home from Fry's and got an OEM version (I
think). The computer I am installing to excedes the
requirements (pent 4 2.4 gig, 65 gig free on HD, 512K
mem). I am running win 98se now. when I ask the install
program to check my system it tells me that I can not
upgrade to xp from 98se. The microsoft web site(s) say
that I should be able to do this.

Do I need to just procede with the install anyway? If I
tell my system to boot from the cd will it install? will I
lose all of my existing files?

The install program did ask to download some update from
the web but this did not change the problem.

Is it OEM Windows XP?
OEM are not capable of performing an upgrade.
OEM are for Clean Installation only.
Back-up important data first as all data will be destroyed.
Another of the many reasons OEM is cheaper than retail.
