W2K sp4 update

I've got a Dell Inspiron 8000 laptop which has w2k with
SP3 running on it. Whenever I try to upgrade it to SP4 I
get an error that says 'The file c:\arcsetup.exe is open
or in use by another application. Close all pgms &
retry'. I had made sure that all pgms were closed before
applying the update but no success. Dell support
engineers could not help me either.
Anyone out there who can help me?
