W2K cals equal Exchange cals

I've been asked to build a W2K server with Exchange 5.5 as the only
application. There will be 45 Exchange users.

Do I need to get W2K with 45 CAL's also or would a 5 pack do?

I think you'll need just the Exchange CALs, but all this licensing stuff
gets pretty arcane - I would go straight to the source - call Microsoft or a
licensed reseller, and get the straight dope from them.
 
You definitely need the 45 Exchange CALs. For the Windows server, if your
users will be authenticating via the Exchange interface, you will need
Windows CALs. If they will be authenticating via POP3, IMAP, or HTTP, the 5
CALs that ship with Windows will do. Basically, you need a Windows CAL for
every user (or device) that will be authenticating against Active Directory.
