Can I use unatended setup to do an upgrade from Windows 2000 to Windows XP
Pro? If so, what steps need to be done to do this. I have tried it using the
standard unatended setup. Any help that can be offered is greatly
appreciated.

You cannot use RIS or Sysprep to upgrade an operating system.
The only automated installation method you can use to perform
upgrades is an unattended installation using Winnt32.exe.

Yes, I did this, but the problem is that it did a fresh install and did not
upgrade the system. Any ideas what I did wrong?

I see that using the /unattend switch allows me to upgrade my present
machine, but it prompts me for a Product key. Is there a way around this?
